STANDARD TERMS AND CONDITIONS OF SALE


1. Client’s Standard Terms:

• The client explicitly waives its own standard terms and conditions, including those created after these terms, unless a written and prior agreement is made.

2. Payment Terms:

• Invoices are payable within 21 working days, unless another payment term is explicitly agreed upon.

• In case of non-payment by the due date, Kenana(CN) reserves the right to charge a fixed interest rate of 10% on the outstanding amount.

• The company reserves the right to suspend services without prior notice if payment is delayed.

3. Action on Late Payments:

• If a payment remains outstanding for more than 60 days after the due date, Kenana(CN) may engage a debt recovery agency to collect the amount.

• All legal costs and expenses incurred will be borne by the client.

4. Taxes Withheld at Source:

• The client is solely responsible for any taxes withheld at the source under the laws of its country.

• Kenana(CN) will not bear any costs or liabilities related to the client’s local legislation. The full invoice amount remains payable to the company.

5. Performance Commitment:

• Kenana(CN) undertakes to deliver products and services within the agreed timeframes and according to the agreed specifications.

• The company is not liable for any claims made by end-users or third parties.

6. Complaint Notification:

• The client must notify Kenana(CN) of any claims or complaints regarding delivered goods or services within 8 working days of delivery.

• Complaints must be submitted via a registered letter to the company’s registered office.

7. Governing Law:

• All contractual relationships between the parties shall be governed by the laws of the People’s Republic of China.

• Any disputes will be resolved exclusively by Chinese courts.
